PRICES

1. F.O.B. Factory, North Hollywood, California, subject to change without notice.
2. Prices for all shipments shall be those prices in effect on date of shipment for the quantity actually shipped, unless otherwise agreed upon in writing or in price quotes.
3. Quotes are good for 14 calendar days from date of issue.

MINIMUM ORDER

$250.00 of assorted items in case lots to qualify for distributor pricing.

TERMS OF PAYMENT

1. Net 30 on approved credit only, unless otherwise agreed upon in writing. All others COD or payment in advance.
2. If payment is not made in accordance with the terms thereof, or if at any time in Seller's judgment Buyer's credit standing has been impaired, Seller may withhold delivery of any products sold until satisfactory cash or credit arrangements have been made.
3. Wire transfer (w/t) remittances must be made to the order of J. B. Chemical Co., Inc. account No. 3006404722 at Union Bank of California, Wire Services, 1980 Saturn Street, Monterey Park, California 91755.

SHIPPING AND FREIGHT POLICY

1. Freight charges will be added to Invoice or shipped freight collect at Buyer's option.
2. All orders will be shipped via the most economical routing.
3. Cancellation and changes in orders by Buyer can be accepted by Seller only if the order is not in production.
4. In order to expedite shipments, Seller reserves the right to ship partial shipments and to back-order the rest.

LIMITATIONS OF LIABILITY

1. Title to products and risk of loss shall pass to Buyer upon delivery to a carrier or into Buyer's transport for F.O.B. shipments.
2. It is Buyer's responsibility to make a careful inspection of the shipment upon receipt for evidence of loss or damage, secure a notation of any loss or damage on Buyer's and carrier's copies of delivery receipts and file a claim with the carrier and/or insurance company. Seller must be notified in writing of any shortage within ten days of receipt of materials.
3. Buyer shall determine within ten days after receipt of each shipment by testing and all other means that Seller's products meet all written quality specifications.
4. The sole remedy of Buyer for products not meeting Seller's standard written specifications shall be replacement by Seller of a like amount of products after reasonable opportunity to investigate Buyer's claim. No product will be accepted for return without prior written permission from the seller. Unauthorized returns will be sent back to the Shipper/Buyer freight collect.
5. Seller, upon request, may furnish to Buyer technical and safety advice, suggestions and procedures for the use of Seller's products, as discussed in Seller's Product Data Sheets, brochures, catalogs, and material safety data sheets. This advice is based on information and data the Seller believes to be reliable and correct as of the date compiled. However, this advice should not be accepted by the Buyer and its customers as a guarantee or warranty to its accuracy, reliability or completeness. It is offered in good faith but without guarantee, as conditions and methods of use of Seller's products are beyond Seller's control. The seller recommends that the prospective user or customer determine the suitability of Seller's materials and suggestions before adopting them on a commercial scale. Seller does not accept liability for any loss or damage that may occur from the use of this information, nor does Seller offer any warranty against patent infringement. Buyer expressly agrees that he will implement any advice thus given at its own risk and agrees to indemnify and hold harmless Seller against any liabilities, costs or expenses resulting therefrom.
6. Since the repackaging of Seller's products by Buyer or its customers are beyond Seller's control, Buyer expressly agrees to indemnify and hold harmless Seller against any liabilities, costs or expenses resulting from any infringement by the Buyer or its customers of any registered trade marks, logos, patents and company names. Repackaging of Seller's products by Buyer or its customers with Seller's trademarks and/or logos is forbidden unless prior written permission has been given to the Buyer by an executive of the Seller.

MATERIAL SAFETY DATA SHEETS (MSDS)

1. MSDS are available on our web site at http://www.jbchemicalusa.com/msds/directory.html. These set forth information concerning the product and describe certain precautions to be taken in the storage and handling of the same. Buyer shall be responsible for knowing all such information and precautions disclosed in said MSDS and conveying the same to persons who may be exposed to the material.
2. Buyer acknowledges that some products sold by Seller are or may be hazardous to human health and Buyer assumes all risk and liability for the use of these products. Buyer shall advise employees, independent contractors, customers and others of the hazards related directly or indirectly to the use, storage or handling of these products.

PRIVATE LABELING

1. Buyer's private labels, directions of use, cautions and antidotes must conform to all Federal, State and local label regulations.
2. Any claims on Buyer's private label which do not conform to Seller's label must be substantiated by Buyer.
3. Terms of Payment: Upon receipt of Buyer's Purchase Order and in advance of production including payments for costs of private labels, cartons and non-stock containers.
